NeoAxis Engine Standard End User License Agreement 1. LICENSE AGREEMENT This document is an agreement between Ivan Efimov ("Licensor") and Licensee (you) regarding the use of the NeoAxis Engine software and additional products (Technology) by Licensee. It is a legal document that explains your rights and obligations related to your use of the Technology. By downloading, installing, or using this software, you are agreeing to be bound by the terms of this Agreement. If you do not or cannot agree to the terms of this Agreement, do not download, install, or use this software. The License becomes effective on the date you accept this Agreement or download the Engine Code. 2. LICENSE GRANT Subject to the terms and conditions of this Agreement, including the timely payment of any applicable royalties and seat fees, Licensor hereby grants you a non-exclusive, non-transferable, revocable license to use, reproduce, modify, and distribute the Technology solely in accordance with the provisions set forth below: A. All redistributions must retain all occurrences of the above copyright notice and website addresses that are currently in place. B. Modified versions of the Technology in binary or source form must be plainly marked as such and must not be misrepresented as being the original software. When distributing permitted modifications or derivative works, you must explicitly state that the distribution is unofficial and cause any modified files to carry prominent notices stating that you changed the files. You may not use the Engine Code or any portion, derivative work, or modification thereof to develop, distribute, license, or sell any competing game engine, real-time rendering engine, interactive authoring tool, software development kit (SDK), or runtime framework that offers functionality substantially similar to or substitutable for the Technology. Any such use requires a separate, written commercial license from the Licensor. C. You agree to pay the Licensor a royalty equal to 5% of all worldwide gross revenue from each video game Product, excluding the first $200,000 USD or equivalent in the lifetime of a Product. This includes gross revenue from any and all sales of a Product to end users through any and all media, revenue from any and all in-app purchases, in-app advertising, affiliate programs, downloadable content, microtransactions, subscriptions, sales, transfers, advance payments, exchange of content created by end users, and revenue in any other form. Payments must be made monthly, within fifteen (15) calendar days after the end of each applicable month. Notwithstanding the foregoing, gross revenue generated directly from the distribution of Products on the NeoX Service platform shall be exempt from the royalty obligations set forth in this Clause C. D. You agree to purchase seat-based licenses from the Licensor at a rate of $1,000 USD or equivalent per seat, per year, for each user using Technology for making non-gaming projects if Licensee’s annual worldwide gross revenue exceeds $200,000 USD or equivalent in the then-current or immediately preceding fiscal year. Payments must be made monthly ($83.33 per seat), within fifteen (15) calendar days after the end of each applicable month. E. A Product that uses Engine Code must display the Engine Logo upon startup for at least 3 seconds. The Engine Logo of NeoAxis Engine must be original, clearly readable, and be at least 1/15 of the horizontal or vertical size of the screen. Check the Engine Logo definition for more details. The Engine Logo can be displayed as a primary logo or as a secondary logo in addition to other information on the screen. You can run NeoAxis Player (Binaries/NeoAxis.Player.exe) to see the demonstration. To configure the logo use the project settings of the editor. F. The Product information must indicate that it is powered by NeoAxis Engine and include a link to the website www.neoaxis.com. Example: "Made with NeoAxis Engine. www.neoaxis.com." G. Additional Content which is provided for an additional fee can be redistributed in its Source Code form only to those that have purchased the same products. It cannot be distributed in its Source Code form with a Product. H. Certain Additional Content is distributed under the "Free to use with NeoAxis" license. This means that the content can only be used with the Engine Code. I. Certain Products may be licensed or distributed under the "NeoX Service" license terms, which represent a special case of this Agreement. Under these terms, the Product may be distributed solely inside the NeoX Service cloud platform. J. You may not modify, alter, bypass, disable, or circumvent the login verification behavior, authentication mechanisms, or account validation routines of the Engine Code. Furthermore, modifying, altering, or removing any portions of the source code or binary files marked with the statement "IMPORTANT: Modifying or bypassing this part of the code is prohibited by the NeoAxis Engine Standard EULA." is strictly prohibited under this License. K. You agree to provide accurate, complete, and up-to-date information during account registration and promptly update your profile if any changes occur. If you are setting up a project as a company or a sole proprietor, you need to select the entity type "Company" or "Sole proprietor" respectively. If you do not accept these conditions or they are not enforceable in your jurisdiction, then you may not use the software. 3. COPYRIGHT Except where otherwise noted, all the documentation and software included in the NeoAxis Engine are copyrighted by Ivan Efimov. 4. OWNERSHIP The title and ownership of the software shall remain with the Licensor. All rights to patents, copyrights, or any other intellectual property rights shall remain with the Licensor, or their respective owner. 5. DISCLAIMER OF WARRANTY The software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. 6. NO LIABILITY Licensee agrees that use of the Software is at their own risk. In no event shall the authors or copyright holders be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the software or the use or other dealings in the software. 7. DEFINITIONS "Additional Content" is add-on software or content which is using the Engine Code that is provided for an additional fee or for free under this license through www.neoaxis.com or through authorized resellers of Ivan Efimov. "Engine Code" means the Source Code and object code of the NeoAxis Engine software, including any future versions, as made available to you by Ivan Efimov under this Agreement, and any object code compiled from that Source Code. "Product" means any product developed under this Agreement that is made using the Technology or that combines the Technology with any other software or content. "Source Code" means the human readable form of a software program, including all modules it contains, plus any associated resource files and scripts used to control compilation. "Technology" means any or all of the original or modified Engine Code and the Additional Content. "Engine Logo" means one of 4 images placed in NeoAxis Engine software by paths "Assets\Base\UI\Images\NeoAxisLogo_DarkBackground.png", "Assets\Base\UI\Images\NeoAxisLogo_DarkBackground_Small.png", "Assets\Base\UI\Images\NeoAxisLogo_LightBackground.png", "Assets\Base\UI\Images\NeoAxisLogo_LightBackground_Small.png". "NeoX Service" is a cloud service provided by Ivan Efimov. The NeoX cloud service is provided through the neoaxis.com website. It is based on the NeoAxis Engine code and license terms of this Agreement. 8. MISCELLANEOUS This Agreement and any documents or information referred to in this Agreement constitute the entire agreement between you and Ivan Efimov relating to the subject matter covered by this Agreement. All other communications, proposals, and representations with respect to the subject matter covered by this Agreement are excluded. If any provision in this Agreement is unenforceable or invalid, it shall not affect the rest of the Agreement. The Licensee agrees to replace any unenforceable or invalid provision with a valid provision that upholds the intent of the provision to the greatest extent possible. References in this Agreement to neoaxis.com shall be deemed to include the regional website neoaxis.cn. 9. TERMINATION This Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must immediately cease all use of the Technology and destroy all copies of the Engine Code in your possession.
